Constitution of Mzinyathi Gardens

MZINYATHI GARDENS CO-OPERATIVE LIMITED — the legal foundation guiding membership, governance, finance, and community operations under the Co-operative Societies Act.

1.1There shall be and is hereby brought into being a co-operative called MZINYATHI GARDENS CO-OPERATIVE LIMITED ("the Co-operative").
1.2The Co-operative shall be a body corporate with perpetual succession and, in the name under which it is registered, be capable of holding property, enter contracts, sue, and be sued, and subject to the provisions of the Co-operative Societies Act [Chapter 24:05], perform all other acts that bodies corporate may by law perform.
1.3The Co-operative shall have all the rights, powers, and privileges in the conduct of its affairs and for the purpose of carrying out its objects which it would have possessed had it been a natural person of full legal capacity.
1.4The operations of this Co-operative shall be in accordance with this Constitution, its by-laws, and the Co-operative Societies Act [Chapter 24:05]. Provided that if any provision of either the Constitution or the by-laws is inconsistent with the Co-operative Societies Act [Chapter 24:05], the Co-operative Societies Act [Chapter 24:05] will prevail to the extent of such inconsistency.
1.5Where this Constitution and by-laws of the Co-operative are silent on any matter regarding the operations of the Co-operative, reference shall be made to the Co-operative Societies Act [Chapter 24:05].
1.6If any part of the Co-operative's Constitution or its by-laws is found to be inconsistent with the Co-operative Societies Act [Chapter 24:05], such inconsistency shall not affect the validity and enforceability of the remainder of the Constitution or by-laws.
1.7The Co-operative shall be a primary society which means it is strictly an association of natural persons.
1.8The membership of the co-operative shall be voluntary and open to every person who meets the requirements for membership in terms of the society's by-laws.
1.9The registered address for the Co-operative shall be Suite 320 Africa house, Fife street and 10th Avenue, Bulawayo, Zimbabwe. Provided that the Co-operative may change its registered address as well found and
1.10establish offices in cities, towns, and growth points within Zimbabwe.

1.1The name of the co-operative shall be Mzinyathi Gardens Co-operative Limited "the Co-operative").
1.2The location of the Co-operative shall be at No. 2 Penrith Road, Morningside, Bulawayo, Zimbabwe, which address shall also be the Co-operative's postal address.
1.3The objects of the Co-operative shall be:
  • To regulate the rights and obligations of the members as co-owners and or co-occupiers of the asset/s of the Co-operative.
  • To undertake the management, administration, and maintenance of the asset/s of the Co-operative in accordance with the terms of the Co-operative's Constitution and these by-laws.
  • To provide such common services and amenities for the use and enjoyment of the members as the Co-operative deems fit.
  • To ensure that all members shall have full, quiet, and peaceful ownership, possession, and occupation of their respective share and to resolve all matters of concern between members relating to the use and occupation of their respective share.
  • To raise funds by means of levies for the purpose of carrying out its objects.
  • Generally, to do all such thigs as are necessary to preserve, maintain, and administer the asset/s of the Co-operative or are incidental or conducive to the attainment of the above objects.
